Wind Farm Good Neighbor Agreement

A. Common organizations. It is not uncommon for projects in the immediate vicinity, particularly projects from the same development contract and underlying origin, to jointly use certain project facilities. Economies of scale by dividing facilities between related or neighbouring projects can also make marginal project sites economically viable. The allocation and distribution of costs related to the authorization, development, operation and maintenance of these equipment, such as common substations and switching stations, as well as new transmission or line extension improvements associated with control and control and data collection equipment, access roads and other necessary facilities that can serve more than one project can reduce costs for each participating project. In some cases, a project may host and build the substation`s website or the O-M website and sublet or grant other derivative rights to other projects for the use of the facility. In other countries, participating projects could be co-owners of the facility. These sharing agreements are often concluded before the facility is built. Such agreements can help maximize the efficient use of resources and financial resources and address lenders` and other concerns about the financial burden a single project could bear for development work. Sometimes the use of an option is fueled by certain state laws. At other times, it is simply a function of the developer`s historical practice.

For example, options are generally used by wind developers in California to avoid reassessing the project site property tax, which would be triggered at the beginning and end of the rental period if the lease term was 35 years or more (including extension options). The processing of initial due diligence during the option period prior to the conclusion of the long-term lease allows for more time for the actual operation of the wind project when the option is exercised during the term of the lease, without triggering the revaluation limit. By not using the option and concluding the lease itself only after the completion of the first investigation period, the developer maximizes the duration of the lease available for revenue generation operations without having to trigger a potentially costly basic tax valuation. I. Form of agreement/use of option. A basic lease or facility fee for the development of a wind project site with facilitation and non-interference contracts related to wind resources (usually a “wind onshore contract”) is, in many respects, similar to an agreement on a basic lease or other temporary land development contract for industrial or industrial development. A wind farm contract provides for the developer`s entry and study of the property and defines the term; The scope of the authorized use of the land by the developer and owner of the land; the amounts and methods of payment of rental interest and/or relief; The distribution of insurance and other costs between the parties; Transfer and financing for development; Notice, delay and healing provisions and other issues that may be required by existing legislation, the special needs of the parties or the particular circumstances. However, unlike a common commercial base lease agreement, wind land contracts differ in their treatment of the extent and use of the property and, if properly designed, should include changes in the ownership of the project and the property as well as a modified use of the project land. In this chapter, a number of general concepts, rules and potential problems are described in a typical site management device. It is not uncommon for a developer to use an option that precedes the developer and grant the developer the exclusive right to enter into a more sustainable land contract on wind energy rather than going directly into project rentals or facilities in advance.
